Vendigital Ltd. (“Vendigital”) operates a web site at www.vendigital.com (“the Web Site”) which facilitates a secure online trading area (“the Trading Area”) for business-to-business transactions. Users can access the Trading Area and participate in reverse auctions as buyers and submit offers at the Bid Event as suppliers. In the Trading Area contracts can only be agreed between buyers and suppliers who are registered with Vendigital in accordance with the registration process (“Users”). If you access the Web Site you agree to be bound by these terms and conditions (“the Terms”)

These Terms and the disclaimers and exclusions contained in them are governed by and construed in accordance with English Law. Any disputes shall be referred to the exclusive jurisdiction of the English courts, to which both parties submit.

Vendigital reserves the right to change, modify, substitute or remove without notice any information on the Web Site from time to time or to change, modify, substitute or remove without notice any of the services provided on the Web Site.

Access to the Web Site may be suspended, restricted or terminated at any time.

The copyright and other intellectual property rights in the material contained in the Web Site (excluding material submitted by Users), together with the Web Site design, text and graphics, and their selection and arrangement, and all software compilations, underlying source code and software (including applets) and the services offered on the Web Site belongs to Vendigital or its licensors. None of this material may be reproduced without Vendigital’s written permission. All the rights in the products of Users which are presented in the Trading Area shall remain with their respective owners.

Vendigital assumes no responsibility for the contents of any other web sites to which the Web Site has links.

Vendigital shall not be liable to any person for any loss or damage which may arise from the use of any of the information contained in this Web Site, except to the extent stated in these Terms and to the extent that such liability cannot be excluded by law.

Whilst Vendigital makes all reasonable efforts to ensure that the information contained within the Web Site is correct, you should be aware that the information may be incomplete, inaccurate or may have become out of date. Accordingly, to the extent permitted by applicable law, Vendigital disclaims all warranties and representations (whether express or implied) as to the accuracy of any information contained on this Web Site.

Vendigital is committed to protecting your privacy. Vendigital will collect and use any information supplied by you to improve the Web Site and personalise your experience when visiting the Web Site. Vendigital may also use it to tell you about changes in Vendigital’s services or about features Vendigital thinks you will find interesting. Vendigital does not sell, trade or rent personal information to others. By completing the “Contact Us” form you are deemed to have consented to the use of personal information for these purposes.
